AmsterTech provides enterprise technology solutions including, but not limited to, custom software development, cloud infrastructure management, cybersecurity consulting, and mobile application development.

3.1 Service Agreements

Specific projects may be governed by a separate Master Services Agreement (MSA) or Statement of Work (SOW). In the event of a conflict between the SOW and these Terms, the SOW shall prevail regarding the scope and fees of the specific project.

3.2 Client Responsibilities

You agree to provide all necessary access, data, and cooperation required for AmsterTech to perform the Services. You represent that you have the legal right to provide any data or materials you submit to us for processing or integration.

If you create an account on our website, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password. 5.1 Company Content

5.2 Client Materials

You retain all rights to any data, materials, or proprietary information you provide to AmsterTech. Upon full payment for Services, AmsterTech assigns to You all intellectual property rights in the custom code, software, and deliverables created specifically for You, excluding any pre-existing AmsterTech frameworks or third-party libraries.

5.3 Trademarks

AmsterTech, the AmsterTech logo, and all other trademarks, service marks, graphics, and logos used in connection with our Service are trademarks or registered trademarks of AmsterTech. You may not use our trademarks without our prior written consent.

For paid Services, You agree to pay all fees and charges incurred in connection with Your account at the rates in effect when such fees are incurred. All fees are quoted in Euros (€) unless otherwise stated.

Upon termination, Your right to use the Service will cease immediately. All provisions of the Terms and Conditions which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

To the fullest extent permitted by applicable law, in no event shall AmsterTech, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind including, without limitation, lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of the service or any products procured using the service.

These Terms and Conditions and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the Netherlands. Our failure to enforce any right or provision of these Terms and Conditions will not be considered a waiver of those rights.

If a dispute arises between You and AmsterTech regarding these Terms or the Service, both parties agree to attempt to resolve the dispute amicably through negotiation. If negotiation fails, the dispute shall be settled by the competent courts of Amsterdam, the Netherlands.
